Welcome to Fydo! These Terms and Conditions (Terms) govern your access to and use of Fydo's services, including the Fydo Partner App, the Fydo Customer App, and our website (collectively, the "Services"). By accessing or using any part of the Services, you agree to be bound by these Terms.

1. Definitions

• Fydo refers to LFYD Services Private Limited, the operator of the Fydo platform.
• Merchant or Partner refers to any retail business or brand that registers on the Fydo Partner App to offer loyalty rewards or promotions.
• Customer refers to any end-user using the Fydo Customer App to browse offers, earn rewards, and redeem loyalty points.
• Brand refers to any company that partners with Fydo for strategic collaborations, sponsorships, or direct integrations.
• Rewards include cashback, loyalty points, coupons, or any incentive issued via the Fydo platform.

2. Eligibility

• Merchants must be authorized business entities with valid registration documentation.
• Customers must be at least 13 years old. Use by minors must be under supervision of a parent or guardian.
• Brands entering into partnership agreements must be represented by an authorized individual with signatory powers.

3. Merchant Terms

3.1 Registration and Onboarding

• Merchants must provide accurate and up-to-date business information.
• Approval of merchant accounts is subject to verification and compliance checks.

3.2 Usage of Platform

• Merchants can define reward rules, cashback percentages, validity, and terms via the Fydo Partner App.
• Merchants must ensure UPI QR code compatibility and correct transaction recording.
• Merchants are responsible for honoring all reward promises made via the platform.

3.3 Fees and Payments

• Fydo may charge a subscription fee or commission depending on the selected plan.
• Fees are communicated transparently during onboarding and are subject to change with prior notice.

3.4 Prohibited Conduct

• Misleading customers, reward manipulation, or fraudulent transactions will lead to immediate suspension or termination.
• Merchants must not use the platform for illegal goods/services or deceptive promotions.

4. Customer Terms

4.1 Account Creation

• Customers must register using a valid mobile number and complete OTP verification.
• Users must keep login credentials confidential and not share their account.

4.2 Earning and Redeeming Rewards

• Rewards are subject to merchant-defined rules and terms displayed on the app.
• Fydo does not guarantee rewards for every transaction; only those qualifying per terms are eligible.

4.3 Expiry and Forfeiture

• Loyalty points or cashback may expire if not redeemed within the timeline defined by the merchant.
• Fydo is not liable for expired or forfeited rewards.

4.4 Restrictions

• Customers must not create multiple accounts to exploit the platform.
• Abuse of referral programs or cashback features may result in suspension.

5. Brand Partnership Terms

• Brand partnerships are governed by individual MOUs or contracts.
• Brand promotions run on the Fydo platform must comply with relevant advertising laws.
• Brand usage of data, targeting, or integrations must be approved by Fydo and comply with our privacy policies.

6. Data Privacy

Fydo collects, uses, and stores data as per our Privacy Policy. Customer and merchant data are protected and not shared without consent, except for essential operations or legal obligations.

7. Intellectual Property

• All content on the app and website, including trademarks, logos, and design elements, are the property of Fydo.
• Merchants and brands may not use Fydo branding without explicit written permission.

8. Termination

• Fydo reserves the right to suspend or terminate any account (merchant, customer, or brand) in case of violations.
• Users can delete their accounts by contacting support. Residual data may be retained as per legal requirements.

9. Limitation of Liability

• Fydo is not liable for any indirect, incidental, or consequential losses.
• The platform operates on a best-effort basis, and services may be interrupted due to maintenance, upgrades, or force majeure events.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of the courts located in Bhubaneswar, India.

11. Updates to Terms

Fydo reserves the right to modify these Terms at any time. Updated terms will be posted on the website and/or app. Continued use of the platform constitutes acceptance of the updated Terms.
