Welcome to Fydo, operated by LFYD Services Private Limited. These Terms and Conditions ("Terms") govern your access to and use of Fydo's website, merchant platform, Partner App, customer-facing services, QR-based payment and reward services, loyalty programs, marketing tools, and other related products and services (collectively, the "Services").
By accessing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Definitions
- Fydo refers to LFYD Services Private Limited, the owner and operator of the Fydo platform.
- Merchant / Partner refers to any retailer, business, shop, service provider, brand, or other commercial establishment registered on the Fydo platform to use its loyalty, customer engagement, marketing, analytics, payment, or promotional services.
- Customer / Userrefers to an individual who interacts with Fydo-enabled merchants, including customers who make transactions, earn rewards, receive offers, or use Fydo's QR-based services.
- Brand refers to a company or business that partners with Fydo for promotions, marketing campaigns, sponsorships, integrations, or other strategic collaborations.
- Rewards include cashback, loyalty points, coupons, discounts, promotional benefits, vouchers, or other incentives issued through or in connection with the Fydo platform.
- Shop Walletrefers to the merchant-specific reward balance associated with a customer's eligible transactions at a particular Fydo merchant.
- Fydo Wallet refers to the wallet or reward balance that may be used for eligible rewards or redemptions across participating Fydo merchants, subject to the applicable rules.
- QR Code refers to a Fydo-generated or Fydo-enabled QR code through which customers may access payment, transaction, reward, offer, or other platform functionality.
- Platformrefers collectively to Fydo's website, Partner App, APIs, software, QR-based services, dashboards, customer interfaces, and related technology.
2. Eligibility
2.1 Merchants
Merchants must:
- Be legally authorized to operate their respective business.
- Provide accurate business, ownership, contact, banking, and registration information.
- Complete any verification or compliance process required by Fydo.
- Have the necessary authority to accept these Terms on behalf of the business.
2.2 Customers
Customers must provide accurate information when required and use the Services only for lawful purposes. Where age restrictions apply to any specific service, the applicable age requirement will govern.
2.3 Brands
Brands entering into partnerships with Fydo must be represented by an authorized person and comply with all applicable agreements, laws, and regulations.
3. Merchant Terms
3.1 Registration and Onboarding
- Merchants are responsible for providing complete, accurate, and up-to-date information during registration and onboarding.
- Fydo may verify merchant information and may approve, reject, suspend, or request additional information before activating a merchant account.
- Merchants are responsible for maintaining the confidentiality of their account credentials and for all activities performed through their account.
3.2 Merchant Account and Platform Usage
Depending on the applicable plan and availability, merchants may use Fydo to:
- Create and manage loyalty programs.
- Configure cashback, points, discounts, coupons, and promotional rewards.
- Generate and use dynamic or merchant-specific QR codes.
- Enable customers to earn rewards through eligible transactions.
- Manage customer information and transaction history.
- View customer and merchant analytics.
- Create customer engagement and marketing campaigns.
- Create and manage multiple coupon codes.
- Promote products, offers, and one-day sales.
- List products or services for customer discovery.
- Track customer transactions and reward activity.
- Access merchant dashboards and performance reports.
- Use Fydo's customer retention and engagement tools.
- Use available payment and transaction integrations.
- Use WhatsApp-based customer engagement and marketing services, including Free WhatsApp Marketing, where available under the applicable Fydo offering.
- Participate in cross-merchant or Fydo-wide reward programs where enabled.
Features may vary depending on the merchant's plan, location, eligibility, technical availability, and product configuration.
3.3 Rewards and Offers
Merchants are responsible for defining and honoring the terms of rewards, discounts, coupons, cashback, and promotional offers created by them.
Merchants must clearly specify, where applicable:
- Reward value.
- Eligibility requirements.
- Minimum transaction value.
- Validity period.
- Redemption conditions.
- Applicable products or services.
- Usage limitations.
- Any exclusions.
Fydo may provide the technology through which such rewards are issued, tracked, or redeemed, but the merchant remains responsible for fulfilling merchant-funded rewards and promotions.
3.4 QR-Based Transactions
Merchants using Fydo QR-based services must ensure that the QR code displayed at their premises is valid, clearly visible, and used only for the intended business.
Merchants must not:
- Alter or replace an authorized Fydo QR code with a fraudulent QR code.
- Misrepresent the purpose of a QR code.
- Manipulate transaction records.
- Create fictitious transactions to generate rewards.
- Allow unauthorized persons to access or misuse merchant accounts.
Fydo may suspend reward crediting or other platform functionality where transactions appear suspicious, fraudulent, duplicated, manipulated, or inconsistent with normal usage patterns.
3.5 Customer Data
Merchants may receive access to customer information through Fydo only to the extent permitted by the platform and applicable law.
Merchants must use customer information only for legitimate business and platform-related purposes and must not sell, misuse, unlawfully disclose, or independently exploit customer data obtained through Fydo. Merchants are responsible for complying with applicable privacy and data protection requirements when using customer information.
3.6 WhatsApp Marketing
Where available, Fydo may provide merchants with WhatsApp-based marketing and customer engagement functionality, including Free WhatsApp Marketing.
Merchants are responsible for ensuring that the content of their messages, offers, promotions, and communications is lawful, accurate, non-deceptive, and compliant with applicable WhatsApp, telecommunications, advertising, and data protection requirements.
Fydo may restrict or suspend messaging functionality in case of spam, abuse, unauthorized communications, complaints, or violation of applicable policies.
3.7 Merchant Analytics
Fydo may provide merchants with analytics relating to transactions, customers, rewards, campaigns, coupons, sales activity, engagement, and other business performance indicators.
Analytics are provided for informational and business decision-making purposes. Fydo does not guarantee that any analytics, forecasts, recommendations, or estimates will result in a specific level of revenue, customer retention, footfall, or business growth.
3.8 Fees and Payments
- Fydo may offer free and paid services, subscriptions, commissions, transaction-based fees, marketing services, or other commercial plans.
- Applicable fees will be communicated through the relevant onboarding process, agreement, order form, subscription plan, or other applicable communication.
- Fydo reserves the right to introduce, modify, or discontinue pricing plans or fees, subject to applicable contractual or legal requirements.
4. Customer Terms
4.1 Customer Transactions
- Customers may interact with Fydo-enabled merchants through QR codes, payment interfaces, offers, loyalty programs, WhatsApp communications, or other supported methods.
- Customers may be required to provide a valid mobile number or other information to receive or access certain rewards and services.
4.2 Earning Rewards
Rewards are issued only for transactions that satisfy the applicable merchant and Fydo rules. Reward eligibility may depend on:
- Transaction amount.
- Merchant-defined conditions.
- Eligible payment methods.
- Offer validity.
- Customer eligibility.
- Reward availability.
- Applicable campaign terms.
Fydo does not guarantee that a reward will be issued for every transaction.
4.3 Shop Wallet
Where enabled, customers may receive merchant-specific cashback, points, or other rewards in their Shop Wallet. Shop Wallet rewards may be used only according to the terms defined by the applicable merchant and/or Fydo.
4.4 Fydo Wallet and Cross-Merchant Rewards
Where the feature is enabled, eligible rewards may be credited to a Fydo Wallet and may be redeemable across participating Fydo merchants.
Availability, conversion rates, redemption conditions, validity periods, and participating merchants may vary.
Fydo reserves the right to modify or discontinue cross-merchant reward programs in accordance with applicable terms and agreements.
4.5 Reward Expiry and Forfeiture
- Cashback, points, coupons, or other rewards may have an expiry date or other usage conditions.
- Expired rewards may be forfeited and cannot necessarily be restored.
- Customers are responsible for reviewing the applicable reward terms and validity period.
4.6 Coupons and Promotional Offers
Coupons and promotional offers may be subject to merchant-defined restrictions, including minimum purchase requirements, validity periods, product exclusions, usage limits, and eligibility criteria.
A coupon or promotional offer may not be exchanged for cash unless expressly stated otherwise.
4.7 Prohibited Customer Conduct
Customers must not:
- Create multiple accounts to obtain unauthorized benefits.
- Manipulate transactions to earn rewards.
- Use fraudulent payment methods.
- Abuse cashback, referral, coupon, or promotional programs.
- Provide false information.
- Attempt to gain unauthorized access to the platform.
- Reverse or manipulate transactions for the purpose of obtaining rewards.
- Use the platform for unlawful activities.
Fydo may cancel rewards, restrict accounts, or suspend or terminate access where misuse or fraudulent activity is detected.
5. Payment Services and Transaction Processing
Fydo may integrate with third-party payment gateways, UPI providers, payment processors, SoftPOS providers, or other financial technology providers.
Payment transactions may therefore be subject to the terms, privacy policies, and technical requirements of the relevant payment service provider. Fydo does not directly control third-party banking or payment infrastructure and is not responsible for delays, failures, reversals, downtime, or errors caused by third-party payment systems, banks, network providers, or other external service providers.
6. Marketing, Campaigns and Promotions
Fydo may allow merchants and brands to create or participate in:
- Customer engagement campaigns.
- Discounts and promotional offers.
- One-day sales.
- Coupon campaigns.
- Product promotions.
- WhatsApp marketing.
- Customer retention campaigns.
- Personalized offers.
- Brand campaigns.
- Cross-merchant promotions.
Merchants and brands are solely responsible for ensuring that promotional content submitted by them is accurate, lawful, and does not mislead customers.
Fydo reserves the right to reject, remove, modify, or suspend promotional content that violates these Terms, applicable law, or platform policies.
7. AI, Analytics and Recommendations
Fydo may use artificial intelligence, machine learning, automation, analytics, and customer segmentation technologies to provide features such as customer insights, personalization, recommendations, campaign suggestions, retention insights, or other business intelligence.
Such outputs are provided as tools to assist merchants and are not guarantees of future customer behavior, revenue, sales, retention, or business performance.
Merchants remain responsible for decisions made based on analytics, recommendations, or automated insights.
8. Data Privacy and Communications
Fydo collects, processes, stores, and uses information in accordance with its Privacy Policy and applicable laws. Information may be used for:
- Providing and improving the Services.
- Processing transactions and rewards.
- Maintaining customer and merchant accounts.
- Providing analytics and platform functionality.
- Customer support.
- Fraud prevention and security.
- Sending service-related communications.
- Providing marketing and promotional services where permitted.
Fydo may share information with service providers, technology partners, payment processors, communication providers, or other third parties where necessary to provide the Services, comply with law, prevent fraud, or otherwise as permitted by applicable law.
Users should refer to Fydo's Privacy Policy for further details regarding data collection and processing.
9. Intellectual Property
All intellectual property associated with Fydo, including but not limited to:
- Fydo name and trademarks.
- Logos.
- Website and application designs.
- Software and source code.
- Platform architecture.
- Content.
- Graphics.
- User interfaces.
- Algorithms.
- Analytics systems.
- AI/ML technology.
- Documentation.
is owned by or licensed to LFYD Services Private Limited and is protected under applicable intellectual property laws.
No user, merchant, or brand may copy, reproduce, modify, distribute, reverse engineer, sell, license, or commercially exploit Fydo's intellectual property without prior written authorization.
Merchants and brands may use Fydo branding only as expressly permitted by Fydo.
10. Third-Party Services
The Fydo platform may contain or integrate with third-party services, including payment providers, communication platforms, cloud service providers, analytics providers, and other technology partners.
Third-party services may be governed by their own terms and policies.
Fydo is not responsible for the independent acts, omissions, policies, availability, or performance of third-party services.
11. Prohibited Activities
Users, merchants, and brands must not use Fydo to:
- Conduct illegal activities.
- Commit fraud or financial misconduct.
- Manipulate transactions or rewards.
- Distribute malware or harmful software.
- Attempt unauthorized access to the platform.
- Interfere with platform security.
- Scrape or extract platform data without authorization.
- Impersonate another person or business.
- Publish misleading, defamatory, fraudulent, or unlawful content.
- Violate applicable advertising, consumer protection, privacy, payment, or other laws.
- Exploit any technical vulnerability in the platform.
Fydo may take appropriate action, including suspension, termination, reward cancellation, or legal action, in response to prohibited activities.
12. Suspension and Termination
Fydo may suspend, restrict, or terminate access to any account or Service where:
- These Terms are violated.
- Fraudulent or suspicious activity is detected.
- Required verification is not completed.
- The account is used for unlawful activities.
- A user or merchant misuses customer data.
- Payment or reward manipulation is detected.
- Continued access presents a security or legal risk.
Users may request account closure by contacting Fydo support.
Upon termination, certain provisions relating to intellectual property, liability, dispute resolution, outstanding obligations, and data retention may continue to apply.
13. Service Availability
Fydo aims to provide reliable and continuous Services but does not guarantee that the platform will always be available, uninterrupted, secure, or error-free. Services may temporarily be unavailable because of:
- Maintenance.
- Software updates.
- Technical issues.
- Network failures.
- Payment provider downtime.
- Third-party service interruptions.
- Cybersecurity incidents.
- Government restrictions.
- Natural disasters.
- Force majeure events.
Fydo may modify, upgrade, suspend, or discontinue any feature or part of the Services where reasonably necessary.
14. Disclaimer of Warranties
The Services are provided on an "as available" and "best-effort" basis to the extent permitted by applicable law. Fydo does not guarantee:
- A particular level of sales or revenue.
- Increased customer footfall.
- A specific customer retention rate.
- A specific number of transactions.
- Uninterrupted service availability.
- That all rewards will always be available.
- That third-party payment or communication services will always function.
- That analytics or AI-generated recommendations will always be accurate.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Fydo shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, including loss of profits, revenue, goodwill, business opportunities, or data arising from the use of or inability to use the Services.
Fydo shall not be responsible for losses arising from:
- Merchant conduct.
- Customer conduct.
- Unauthorized use of accounts.
- Third-party payment systems.
- Third-party communication platforms.
- Internet or network failures.
- Incorrect information supplied by users.
- Expired or forfeited rewards.
- Merchant failure to honor its own offers or rewards.
- Events beyond Fydo's reasonable control.
Nothing in these Terms shall exclude or limit liability that cannot legally be excluded or limited under applicable Indian law.
16. Indemnification
To the extent permitted by applicable law, merchants, brands, and users agree to indemnify and hold harmless Fydo, LFYD Services Private Limited, its directors, officers, employees, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:
- Violation of these Terms.
- Fraudulent or unlawful activities.
- Misuse of the Services.
- Violation of third-party rights.
- Misuse of customer information.
- Breach of applicable laws.
- Unauthorized content, offers, or promotions submitted by the user, merchant, or brand.
17. Changes to the Services
Fydo may introduce new features, modify existing features, or discontinue certain features from time to time. Such changes may include improvements to loyalty programs, wallets, QR services, analytics, marketing tools, payment integrations, customer engagement features, AI-powered services, and merchant dashboards.
Where reasonably required, users will be notified of material changes through the website, application, email, or other appropriate communication.
18. Updates to These Terms
Fydo reserves the right to update these Terms from time to time. Updated Terms will be published on the Fydo website and/or relevant application. The updated Terms will become effective from the date specified in the revised Terms.
Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
19. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to applicable law, courts located in Bangalore, Karnataka, India shall have jurisdiction over disputes arising out of or relating to these Terms or the Services.
